1. Acceptance & Eligibility

By clicking "I agree" during account creation, by accessing the Service, or by using any feature, you (the "User", "you", "your") agree to be legally bound by these Terms of Service (these "Terms"). The Service is operated by Perspic AI Engineering Limited, a private company limited by shares incorporated under the laws of the Hong Kong Special Administrative Region ("Perspic", "we", "us", or "our"). These Terms, together with our Privacy Policy and any pricing or order forms you accept, constitute the entire agreement between you and Perspic.

You represent and warrant that:

If you do not satisfy each of the foregoing representations, you must immediately cease using the Service. We reserve the right to verify your eligibility at any time and to suspend or terminate your account if any representation proves false.

2. Service Description & Limitations

Perspic Audit AI ("the Service") is a browser-based software utility that assists Hong Kong small and medium enterprises ("SMEs") and their professional advisors with: (i) optical character recognition and structured extraction of transactions from PDF bank statements, invoices, receipts, and similar source documents; (ii) automated transaction categorization using rule-based logic and large language model inference; (iii) reconciliation across multiple banks and currencies; and (iv) export of audit-ready spreadsheets and reports.

The Service is offered as a productivity software-as-a-service ("SaaS") tool. It is provided on a self-service basis without any guaranteed accuracy, completeness, or fitness for any particular professional purpose. Access to certain features may be conditional upon payment of fees, completion of identity verification, and adherence to acceptable use limits.

The Service is NOT, and does NOT purport to be:

Any reference to "audit", "audit-grade", or "audit-ready" within the Service or related marketing materials refers to formatting suitability for review by a qualified auditor, and shall not be construed as the conduct, execution, or issuance of a statutory audit or audit opinion within the meaning of the Companies Ordinance, the International Standards on Auditing (ISA), the Hong Kong Standards on Auditing (HKSA), or any equivalent regulatory framework.

3. NOT a Substitute for Professional Advice

Output produced by the Service — including but not limited to General Ledgers, Profit & Loss statements, Bank Reconciliations, Management Accounts ("MA") Schedules, Prepared-By-Client ("PBC") Packs, AI-generated chat answers, transaction categorization suggestions, anomaly flags, narrative summaries, and any computed totals — is computer-generated, provisional, and may contain errors, omissions, hallucinations, or misclassifications.

It is the User's sole, exclusive, and non-delegable responsibility to:

The User acknowledges and agrees that Perspic shall have no liability for any decision, transaction, filing, submission, contract, representation, or other action undertaken by the User or by any third party in reliance on Service output, even where such reliance was foreseeable or intended.

4. Data Architecture & Where Your Data Lives

Perspic Audit AI is designed around a privacy-by-architecture principle commonly summarised as: "Your bank statements never leave your device." This is more than marketing — it is a technical fact of how the Service is built, subject to the limited and explicit exceptions enumerated below.

4.1 Local-First Storage

The vast majority of your data, including but not limited to: extracted transactions, categorization decisions, custom rules, workspace metadata, recon results, sheet edits, audit logs, document classifications, polaroid metadata, ledger entries, byte chat history, upload manifests, and workflow stage state, is stored exclusively in your web browser's local storage facilities (HTML5 Web Storage, IndexedDB, and the File System Access API where supported). This data never leaves your browser process. We have no read access to it.

4.2 Server-Side Data — Strictly Limited

Notwithstanding the local-first design, the following limited categories of data are transmitted to and processed by servers under our control or under the control of our service sub-processors:

5. AI Processing Disclosure

The Service incorporates artificial-intelligence-assisted features powered by third-party large language models. Specifically, as of the effective date of these Terms, AI inference is performed by z.ai (Beijing Zhipu Huazhang Technology Co., Ltd. and its affiliates, operator of the GLM family of models) accessed via our Cloud Functions proxy located in the United States (Google Cloud region us-central1).

When you trigger an AI feature (statement extraction, classification, chat, etc.), the following data flow occurs:

  1. Your browser extracts the relevant text or document bytes from local storage;
  2. The text is sent over HTTPS to our Cloud Function proxy hosted on Google Cloud Platform;
  3. The proxy forwards the payload to z.ai's inference API;
  4. z.ai's model generates a response and returns it to our proxy;
  5. The proxy returns the response to your browser;
  6. Your browser stores the result locally and renders it for your review.

Subject to your continued compliance with these Terms and (if applicable) payment of any fees, Perspic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes only, during the term of your account.

This license does not grant you any right to: (a) sublicense, sell, lease, rent, distribute, or otherwise transfer access to the Service to any third party; (b) circumvent any access control, rate limit, technical protection measure, or paywall; (c) reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code, models, or algorithms from the Service except to the extent such restriction is prohibited by applicable law; (d) copy, modify, or create derivative works of the Service or any portion thereof; (e) use the Service to train competing AI models or to develop competing products; or (f) remove or obscure any copyright notice, trademark, or other proprietary marking.

All rights not expressly granted to you in these Terms are reserved by Perspic and its licensors.

8. Acceptable Use Policy

You must not, and must not attempt to, knowingly cause, encourage, or permit any other person to:

Violations of this Acceptable Use Policy may result in immediate account suspension or termination without refund, and may be reported to law enforcement.

9. Account Security

You are solely responsible for safeguarding your account credentials. We recommend that you: use a strong, unique password not used on any other service; enable any multi-factor authentication options we make available; do not share your credentials with any other person; promptly log out of shared devices after each session; and immediately notify us via info@perspic.net of any actual or suspected unauthorized access or compromise.

We may, but are not obligated to, implement rate-limiting, suspicious-login detection, mandatory password rotation, or other security measures. Failure of any such measure does not relieve you of the obligation to safeguard your own credentials.

10. Service Availability & Modifications

The Service is provided on an "as-is" and "as-available" basis. We do not warrant any specific uptime, response time, throughput, or accuracy level. The Service may be unavailable due to scheduled maintenance, unscheduled outages, force majeure events, third-party service disruptions, or events beyond our reasonable control.

We reserve the right, at our sole discretion and at any time, to: (a) modify, suspend, or discontinue, temporarily or permanently, any feature or aspect of the Service, with or without notice; (b) impose limits on the use of certain features; (c) restrict access to part or all of the Service; (d) reset, downgrade, or migrate accounts; or (e) terminate the Service in its entirety, in which event we will use reasonable efforts to provide thirty (30) days' advance notice via the email address registered on your account.

Beta features, preview features, or features explicitly marked as "experimental" or "alpha" are offered without any warranty whatsoever and may be removed, broken, or radically changed at any time.

11. AS-IS Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Without limiting the generality of the foregoing, Perspic specifically disclaims any and all warranties, including but not limited to:

You expressly acknowledge that you use the Service at your own risk and that you are solely responsible for any damage to your computer system, loss of data, or other harm that results from your use of the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERSPIC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR: LOST PROFITS, LOST REVENUES, LOST OPPORTUNITIES, LOST GOODWILL, LOSS OF USE, LOSS OF DATA, BUSINESS INTERRUPTION, REGULATORY PENALTIES, TAX LIABILITIES, OR ANY OTHER INTANGIBLE LOSSES, WHETHER ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE, FROM ANY OUTPUT OF THE SERVICE, FROM RELIANCE BY YOU OR ANY THIRD PARTY ON SUCH OUTPUT, OR FROM ANY OTHER CAUSE WHATSOEVER, AND WHETHER UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF PERSPIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, THE AGGREGATE LIABILITY OF PERSPIC AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU ACTUALLY PAID TO PERSPIC FOR USE OF THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED HONG KONG DOLLARS (HK$100). YOU AGREE THAT THIS LIMITATION REPRESENTS A REASONABLE ALLOCATION OF RISK AND IS AN ESSENTIAL ELEMENT OF THE BARGAIN BETWEEN THE PARTIES.

Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, in which case the foregoing limitation applies only to the maximum extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Perspic AI Engineering Limited and its directors, officers, employees, agents, affiliates, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, liabilities, judgments, awards, losses, damages, costs, and expenses (including reasonable legal fees on a solicitor-client basis) arising out of or relating to:

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You may not settle any such matter without our prior written consent. This indemnification obligation survives termination of these Terms.

14. Third-Party Services

The Service depends on, integrates with, or interoperates with various third-party services and sub-processors, including but not limited to:

Each such third-party service is governed by its own terms of service, acceptable use policy, and privacy policy. Perspic is not a party to and assumes no responsibility for any contract, term, or obligation between you and any third-party provider. We may change, add, or remove sub-processors at any time and at our sole discretion.

15. Data Retention & Deletion

As described in Section 4, the substantial majority of your data resides on your device and is under your sole control. You may delete all locally-stored data at any time using the in-Service "Settings > DELETE all data" feature, or by clearing your browser's storage for the Service domain.

We will respond to data deletion requests within thirty (30) days. Certain data may be retained beyond the foregoing periods where required by applicable law, by an ongoing regulatory or law-enforcement investigation, or where necessary to enforce these Terms or defend legal claims.

16. Privacy & Data Protection

Our collection, use, and disclosure of your personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy is published at: https://audit.perspic.net/legal/privacy.html

We comply with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong SAR. Where you transfer personal data of EU/UK/Mainland China data subjects through the Service, you are responsible for satisfying any cross-border transfer requirements applicable to you under the GDPR, UK GDPR, or PIPL.

17. Intellectual Property

The Service, including all software, source code, object code, user interface designs, graphics, logos, trademarks, trade names, service marks, sounds, images, text, layouts, structures, AI prompts, AI fine-tuning data, parser registries, scoring algorithms, categorization rules schemas, documentation, and all updates and derivative works thereof (collectively, "Perspic IP"), is owned by Perspic AI Engineering Limited and/or its licensors and is protected by Hong Kong and international copyright, trademark, trade-secret, and other intellectual property laws.

You are granted only the limited license set out in Section 7. No other rights or licenses are granted, expressly or by implication, estoppel, or otherwise. Any feedback, suggestions, ideas, or recommendations you provide to Perspic concerning the Service shall be deemed non-confidential and may be freely used, modified, and incorporated into the Service by Perspic without compensation or attribution to you.

"Perspic", "Perspic Audit AI", "Byte AI", and related logos are trademarks of Perspic AI Engineering Limited. You may not use these marks without our prior written permission.

18. Termination

You may terminate your account at any time by submitting a termination request to info@perspic.net or by ceasing use of the Service and clearing your local browser storage. Termination of your account does not entitle you to any refund of fees paid, except as expressly stated in any applicable order form or product description.

We may suspend or terminate your account, with or without notice, with or without cause, at our sole discretion, including (without limitation) where: (a) you breach these Terms or our Privacy Policy; (b) we suspect fraudulent, illegal, or harmful conduct; (c) required by law, court order, or regulator; (d) continued provision of the Service to you poses a security or operational risk; or (e) we discontinue the Service in whole or in part.

Upon termination, your right to access and use the Service ceases immediately. Sections 4 (Data Architecture, in respect of post-termination data control), 11 (AS-IS), 12 (Limitation of Liability), 13 (Indemnification), 15 (Data Retention & Deletion), 16 (Privacy), 17 (Intellectual Property), 19 (Governing Law), 20 (Dispute Resolution), 23 (Severability & Entire Agreement), and 27 (Survival) shall survive termination indefinitely.

19. Governing Law & Jurisdiction

These Terms, our Privacy Policy, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

20. Dispute Resolution

Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, or any non-contractual obligation arising out of or relating to these Terms, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.

The seat of arbitration shall be Hong Kong SAR. The arbitration shall be conducted in the English language by one (1) arbitrator. The arbitral award shall be final and binding on the parties. Notwithstanding the foregoing, either party may seek interim or conservatory relief from any court of competent jurisdiction in respect of intellectual property infringement or breach of confidentiality.

You agree that any cause of action arising out of or related to these Terms or the Service must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

21. Changes to These Terms

We may modify these Terms from time to time. The "Last Updated" date at the top of these Terms indicates when these Terms were last revised. Material changes will be notified to you through one or more of the following methods: (a) an in-Service notification or modal on next sign-in; (b) an email to the address registered on your account; (c) a posting on our website. Continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms.

If you do not agree with the revised Terms, your sole remedy is to stop using the Service and (if you wish) request account deletion as described in Section 18.

22. Force Majeure

Perspic shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including without limitation: acts of God; pandemic, epidemic, or public health emergency; war, terrorism, or civil unrest; embargo or sanctions; fire, flood, earthquake, typhoon, or other natural disaster; outage of telecommunications, electricity, internet, or third-party cloud services; denial-of-service attack or cyberattack; ransomware or other malware event; labour action; or governmental order, law, or regulation.

23. Severability & Entire Agreement

If any provision of these Terms is held invalid, unenforceable, or in conflict with applicable law by a court of competent jurisdiction or arbitral tribunal, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified by the court or tribunal to the minimum extent necessary to render it enforceable while preserving as nearly as possible the original intent of the parties.

These Terms (together with the Privacy Policy and any applicable order forms) constitute the entire agreement between you and Perspic with respect to the subject matter, and supersede all prior agreements, communications, and understandings, whether oral or written.

24. No Waiver

No failure or delay by Perspic in exercising any right, power, or privilege under these Terms shall operate as a waiver of any such right, power, or privilege. A waiver, to be effective, must be in writing and signed by an authorized representative of Perspic. A waiver of any breach shall not be deemed a waiver of any subsequent or other breach.

25. Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. Any attempted assignment in breach of this section is void. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, and without notice to you.

26. Notices

All notices to Perspic shall be sent to info@perspic.net (with copy to raynor.yip@perspic.net for legal matters), or to our registered office address (provided on request). All notices from us to you shall be sent to the email address registered on your account, and shall be deemed received twenty-four (24) hours after sending unless we are notified of delivery failure.

27. Survival

Any provision of these Terms which, by its nature, should survive termination or expiration (including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability) shall so survive.

28. Export Controls & Sanctions

You represent and warrant that you are not located in, ordinarily resident in, or a national of any country subject to comprehensive trade sanctions; that you are not on any restricted-party list; and that you will not use, export, re-export, or transfer the Service in violation of any applicable export-control or sanctions law of Hong Kong SAR, the People's Republic of China, the United States, the United Kingdom, the European Union, or any other relevant jurisdiction. We may suspend or terminate the Service to you immediately if we have reason to believe that continued service would constitute a sanctions or export-control violation.

29. Anti-Bribery & Corruption Compliance

Each party agrees to comply with all applicable anti-bribery and anti-corruption laws, including the Prevention of Bribery Ordinance (Cap. 201) of Hong Kong SAR, the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act 2010, and any equivalent legislation. Neither party shall offer, give, request, or accept any bribe, kickback, or other improper payment in connection with the Service or the parties' relationship.

30. Confidentiality of Mutual Communications

Any non-public technical, commercial, financial, or operational information that one party discloses to the other in connection with the Service shall be treated as confidential by the receiving party and used only for the purpose for which it was disclosed. This obligation shall survive termination of the Service for five (5) years. The obligation does not apply to information that: (a) was lawfully in the receiving party's possession prior to disclosure without obligation of confidence; (b) is or becomes publicly available through no fault of the receiving party; (c) was lawfully received from a third party without obligation of confidence; or (d) is required to be disclosed by law or regulator.
